Terms of Service
Effective Date: August 31, 2025
Welcome to SupaClub! This is a binding legal contract between you and Good Creative Lab Inc. ("SupaClub"). It governs your use of our website, apps, and services (collectively, the "Services"). By creating an account or otherwise accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not use the Service. Please read them carefully.
For Customers
If you are using the Services on behalf of an organization or other legal entity, or have executed a Master Subscription Agreement with SupaClub, that agreement governs your use. In the event of any conflict between these Terms of Service and your Master Subscription Agreement, the terms of the Master Subscription Agreement will prevail.
These Terms of Service govern all other use.
1. The Basics: Definitions
To make sure we're on the same page, here are the key terms we use:
- User: Any individual with a SupaClub account, including Customers and End Users.
- Customer: The person or organization that creates and manages an Organization.
- End User: An individual who joins or interacts with a Customer's Organization.
- Organization: The website and community space a Customer builds with our Services.
- Account Information: Data you provide to create your account (like your name and email). We (SupaClub) are the Data Controller for this information.
- Content: Any text, images, or other materials posted by a User in an Organization.
- Customer Data: All Content and personal data within an Organization. The Customer is the Data Controller for this data.
2. Age Requirement & Account Security
Age Requirement
You must be at least 13 years old to use the Services. By creating an account, you confirm that you are 13 or older. If you believe a child under 13 has created an account, please contact us at help@supaclub.app.
Account Security
You are responsible for keeping your password and account details safe. Notify us immediately at help@supaclub.app if you suspect any unauthorized use. You are responsible for all activities that happen under your account.
3. The Customer's Role & Responsibility
As a Customer, you are the owner of your Organization. This comes with a few key responsibilities:
- Data Controller: You are the Data Controller for your End Users' data.
- Data Migration: If you migrate member data to our platform, you must have the necessary permissions and consents. You agree to indemnify and hold SupaClub harmless from any claims arising from your breach of this responsibility.
- Data Processing Agreement (DPA): By using our services, you agree to our DPA.
- Your Own Policies: You are responsible for creating your own terms and privacy policy for your End Users.
- Acceptable Use Policy: You agree not to use the Services to:
- Post illegal or infringing content.
- Distribute malware or viruses.
- Harass, defame, or threaten others.
- Send spam.
- Engage in any activities on the Stripe Restricted Businesses list.
4. Intellectual Property
- Your Content is Yours: You retain full ownership of the Content you create and post.
- Our License to Operate: You grant us a limited license to host, copy, display, and create derivative works of your Content solely for the purpose of operating and providing the Services to you and your End Users.
- Our Brand is Ours: Our logos, branding, and software are our property.
- Feedback: Any suggestions, enhancement requests, or other feedback you provide shall be and remain the property of SupaClub. To the extent that any rights to such feedback do not automatically vest in SupaClub, you hereby assign to us the ownership of all such rights.
- Attribution: We may place a "Powered by SupaClub" logo on the public pages of your Organization.
- Responsibility for End User Activity: The Services may allow you to sell or share your Content with End Users. We have no control over and do not guarantee what End Users may do with your Content after you have provided it to them. You agree that SupaClub has no responsibility for any use or misuse of your Content by End Users, including any copying, modification, or redistribution.
5. Subscriptions, Fees, and Payments
- Fees: You agree to pay the fees for your selected Subscription Plan.
- Auto-Renewal: Subscriptions automatically renew unless you provide notice of non-renewal at least thirty (30) days before the end of the term.
- Fee Increases: We reserve the right to increase fees for any renewal term.
- Usage Limits: If you exceed your plan's usage limits, we may require you to upgrade.
- Transactions Between Customers and End Users: When an End User pays a Customer through the Services (for example, for a membership or an event), that financial transaction is a direct agreement between the End User and the Customer. SupaClub is not a party to this agreement. Customers are solely responsible for creating, communicating, and enforcing their own policies regarding payments, refunds, and chargebacks for their End Users. Any disputes or requests for refunds must be handled directly between the Customer and the End User.
6. Cancellation and Termination
- Cancellation: You can prevent your subscription from auto-renewing through your account dashboard.
- Termination by Us: We reserve the right to terminate your account if you violate these Terms.
- Effect of Termination: If you cancel, your access to paid features will continue until the end of your current billing period.
- Inactive Accounts: We reserve the right to archive accounts that have been inactive for ninety (90) or more days.
7. Disclaimers & Liability
This is an important section. Please read it carefully.
Disclaimer of Warranties
The Services are provided "AS IS" and "AS AVAILABLE" without any warranties.
Limitation of Liability
Our total financial liability to you will not exceed the amount you paid us in the twelve (12) months before the claim.
Indemnification
You agree to indemnify and hold us harmless from any claims that arise from your use of the Services or your violation of these Terms.
8. General Provisions
Governing Law & Jurisdiction
These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles. For any dispute not subject to arbitration, you agree to the personal and exclusive jurisdiction of the state and federal courts located in San Francisco, California.
Dispute Resolution by Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY AS IT AFFECTS YOUR RIGHTS.
- a. Agreement to Arbitrate & Good-Faith Negotiation: You and SupaClub agree that any dispute, claim, or controversy arising out of or relating to these Terms (collectively, "Disputes") will be resolved solely by binding, individual arbitration and not in a class, representative or consolidated action or proceeding. The parties shall first use their best efforts to settle any Dispute directly through good-faith negotiations, which shall be a precondition to either party initiating arbitration.
- b. Arbitration Rules: The arbitration will be administered by the American Arbitration Association ("AAA") in accordance with its applicable rules then in effect. The arbitration will be conducted in San Francisco, California.
- c. Class Action Waiver: YOU AND SUPACLUB AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
- d. Waiver of Jury Trial: YOU AND SUPACLUB HEREBY WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO GO TO COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY.
- e. Opt-Out Right: You have the right to opt out of this arbitration provision by sending written notice of your decision to help@supaclub.app within thirty (30) days of first accepting these Terms.
Additional Provisions
- Links to Other Websites: We are not responsible for the content or practices of any third-party websites linked from our Services.
- Communications: By creating an account, you agree that we may send you newsletters, marketing, or promotional materials. You can opt out of receiving these communications at any time by clicking the "unsubscribe" link in the email. Please note that we may still send you essential transactional or administrative messages about your account even after you opt out of marketing emails.
- Changes to Terms: We may modify these terms. If the changes are material, we will notify you.
- Entire Agreement: These Terms, our Privacy Policy, and our DPA make up the entire agreement between you and SupaClub.
- Assignment: We may assign our rights and obligations under these Terms without your consent in connection with a merger, acquisition, sale of all or substantially all of our assets, or to any affiliate or successor entity.
- Severability: If any part of these Terms is found to be unenforceable, the other parts will remain in full force and effect.
- No Waiver: If we fail to enforce any part of these Terms, it does not mean we waive our right to do so later.
- Statute of Limitations: You agree that any claim or cause of action arising out of or related to the use of the Services or these Terms must be filed within one (1) year after such claim arose or be forever barred.
- Force Majeure: We will not be liable for any failure or delay in performance of our obligations under these Terms that is caused by events outside our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, pandemics, or government action.
- Export Control: You agree to comply with all applicable U.S. and foreign export and re-export control laws and regulations. You represent and warrant that you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
- Survival: Certain sections will remain in effect even after your account is terminated.
